Welcome to the Fundrella Platform that is provided by Fundrella AB, reg.no. 559197-9736, a company incorporated and organised under the laws of Sweden (“Fundrella”).
By registering, accessing, or using the Fundrella Platform, the User agrees to be bound by these Terms and Conditions (the “Terms”). These Terms form a legally binding agreement between Fundrella AB and the User.
1. DEFINITIONS
1.1 Fundrella
Fundrella AB, reg. no. 559197-9736, a company incorporated and organised under the laws of Sweden.
1.2 Platform
The Fundrella platform, a data and information-sharing hub that supports efficient information exchange between Users across both listed and alternative asset classes, including equities, fixed income, private equity, private debt, real estate, infrastructure, and hedge funds.
1.3 Asset Managers
Promoters and investment managers of funds on the Platform, and their representatives.
1.4 Professional Investors
Institutional, wholesale intermediaries, or other professional investors (and their representatives e.g. investment consultants)Institutional investors, wholesale intermediaries, or other professional investors (and their representatives, including investment consultants), as defined under applicable financial regulation.
1.5 Retail Investors
Natural persons or other end customers who do not qualify as Professional Investors under applicable financial regulation.
1.6 Partners
Third-party platforms, distributors, data providers, or service providers that integrate with Fundrella via APIs or other technical means and make Fundrella data available to their own users or end customers.
1.7 Users
Collectively refers to Asset Managers, Professional Investors, and Partners, as applicable.
1.8 Paying Users
Asset Managers holding an active paid Subscription under Section 4.
1.9 Subscription
The paid access granted to a Paying User for premium visibility, analytics, reporting functionality, or other paid features on the Platform.
1.10 API Services
Programmatic access to Fundrella data and content made available via application programming interfaces (APIs) or other technical integrations.
1.11Party / Parties
Fundrella and a User individually or collectively, as the context requires.
2. ELIGIBILITY & USE OF THE PLATFORM
The Platform is primarily intended for use by Asset Managers, Professional Investors, and Partners as defined above. Certain data made available through API Services may be accessed by Retail Investors as end customers of Partners.
All Users and Partners must comply with applicable laws and regulations and are solely responsible for the accuracy, completeness, legality, and permitted use of the information they provide, access, or distribute.
Professional Investors may request free access subject to confirmation of professional status and a verified company domain. Fundrella may require additional proof and reserves the right to decline access.
Users do not engage in general advertising, solicitation, or securities offerings through the Platform. Nothing in these Terms constitutes a distribution, placement, marketing, or advisory arrangement between the Parties.
Fundrella does not assess, determine, or verify whether any fund, share class, or marketing material is suitable or permitted for distribution to Retail Investors in any jurisdiction.
Users must not attempt to bypass or disable Platform protections, transmit viruses or harmful code, or upload unlawful, misleading, or offensive material.
3. SCOPE OF SERVICES
Fundrella provides Users with access to the Platform and related services, including data-sharing functionality, visibility and matching tools, analytics, reporting modules, and API Services (the “Services”).
Paying Users receive access to premium features under a Subscription tier, while Professional Investors may receive free access to view and analyse data.
Fundrella warrants that the Platform will operate for its intended purpose and will correct material technical defects without unreasonable delay. Fundrella may perform maintenance, updates, or upgrades from time to time and may temporarily restrict access for such purposes, giving reasonable notice where practicable.
3A. API SERVICES AND THIRD-PARTY DISTRIBUTION
Fundrella may make data and content available to Partners via API Services for integration with third-party platforms, systems, or applications. Such integrations may result in Fundrella data being displayed or accessed by end customers of Partners, including Retail Investors, and it is the Partner's responsibility to ensure funds are displayed according to their marketing permits.
Fundrella does not control, monitor, or approve how Partners present, contextualise, filter, or distribute such data and is not responsible for any downstream use.
3B. RETAIL DISTRIBUTION, REGULATORY COMPLIANCE AND FILTERING RESPONSIBILITIES
Where Fundrella data is made available to Retail Investors through Partners:
a) Partners are solely responsible for ensuring that only funds and share classes that are legally permitted to be marketed to Retail Investors in the relevant jurisdiction are made available to such audience;
b) Partners must implement and maintain appropriate technical, contractual, and compliance controls to filter out any funds or share classes that are not intended or permitted for Retail Investors, including based on investor classification, country of residence, and applicable marketing rules;
c) Fundrella does not act as a distributor, promoter, placement agent, or marketer of financial instruments to Retail Investors and does not assess investor eligibility, suitability, or regulatory compliance;
d) Partners shall be fully liable for any breach of applicable laws or regulations arising from improper distribution, filtering failures, or unauthorised access by Retail Investors.
Partners shall indemnify and hold harmless Fundrella from any claims, regulatory actions, fines, penalties, or losses arising from their failure to comply with this Section.
4. SUBSCRIPTION TERM, FEES AND PAYMENT (PAYING USERS ONLY)
4.1 Subscription Period
Access for Paying Users is provided on an annual subscription basis (the “Subscription Period”). The initial Subscription Period begins upon activation of the first invoice. Unless cancelled in accordance with Section 4.2, Subscriptions automatically renew for successive twelve (12)-month terms.
4.2 Cancellation and Renewal
Either Party may elect not to renew by giving written notice at least sixty (60) days prior to the end of the current Subscription Period. Access continues until that date.
4.3 Fees and Invoicing
Paying Users shall pay Fundrella the annual Subscription Fee communicated during onboarding or published on the Fundrella website. Invoices are payable within twenty (20) days from the invoice date.
4.4 Price Revisions
The Subscription Fee shall automatically increase each new Subscription Period in line with the prevailing inflation rate in Sweden (Konsumentprisindex (KPI), as published by Statistics Sweden (SCB)).
4.5 Taxes and Withholding
All fees are exclusive of VAT and similar charges. If withholding tax applies, the Paying User shall gross-up any payment so that Fundrella receives the full amount due.
4.6 No Refunds
Subscription Fees are non-refundable in the event of early termination or non-renewal.
4.7 Late Payment
Interest on overdue payments accrues in accordance with Section 6 of the Swedish Interest Act (1975:635). Fundrella may suspend access for overdue accounts.
5. DATA & CONTENT
These Terms refer to Fundrella’s Privacy Policy, which governs the processing of personal data.
Users may upload, share, or display data, reports, and insights on the Platform or via API Services. Users remain solely responsible for the accuracy, legality, ownership, and permitted use of such content.
Professional Investors may access and analyse content made available to them but must not redistribute, extract, or use Platform data for commercial purposes outside the Platform unless expressly agreed.
Where Users or Partners redistribute or display Fundrella data outside the Platform, including via API Services, they remain solely responsible for ensuring that such use complies with applicable financial promotion, marketing, and investor protection rules.
Fundrella may display third-party data but does not guarantee its accuracy or completeness.
Each User grants Fundrella a non-exclusive, royalty-free licence to host and process its data solely to provide and improve the Services. Fundrella makes no claim to ownership of User data.
6. CONFIDENTIALITY
Each Party shall keep confidential all non-public information received from the other Party, including business, technical, and pricing information. This obligation survives termination for three (3) years.
Confidentiality does not apply to information that is (a) publicly available, (b) lawfully obtained from a third party, or (c) required to be disclosed by law or regulation.
7. AVAILABILITY & TECHNICAL SUPPORT
Fundrella aims for 24/7 availability, excluding planned maintenance. While high uptime is intended, uninterrupted access cannot be guaranteed.
Maintenance is normally performed outside business hours with advance notice via email or in-platform alert. Emergency maintenance may occur without notice.
Standard support is available Monday–Friday (CET/CEST), excluding Swedish public holidays, via support@fundrella.com. Fundrella aims to acknowledge inquiries within 24 hours.
8. PROHIBITED USE
Users must not:
● use the Platform for purposes not expressly permitted by these Terms;
● copy, replicate, or otherwise attempt to reproduce the Platform; or
● use the Platform in violation of any applicable law or regulation.
Fundrella may investigate or take action regarding suspected misuse.
9. TERMINATIONINTELLECTUAL PROPERTY
All intellectual property rights in the Platform and Services are the exclusive property of Fundrella. Users may not remove or obscure any proprietary notices.
Each User warrants that any data uploaded is owned or lawfully controlled by it and shall indemnify Fundrella from any third-party claim arising from such data.
10. LIMITATION OF LIABILITY
The Platform and Services are provided “as is.”
Fundrella shall not be liable for indirect, consequential, or special damages, including lost profits, loss of data, or business interruption.
Fundrella shall have no liability for any claims arising from the distribution of data to Retail Investors by Partners or from any failure by a Partner to properly restrict or filter funds or share classes.
In all cases, Fundrella’s total liability shall not exceed one (1) price base amount (prisbasbelopp) under the Swedish Social Insurance Code (2010:110) at the time the fault arose.
Fundrella does not provide investment, financial, or legal advice.
11. DATA PROCESSING AGREEMENT
Where a User uploads personal data, Fundrella acts as processor on behalf of that User. The Parties shall enter into a separate Data Processing Agreement (“DPA”) in accordance with Article 28 GDPR.
12. TERM & TERMINATION
These Terms remain effective for as long as the User maintains an active account (for Professional Investors or Partners) or Subscription (for Paying Users).
Fundrella may suspend or terminate access immediately for material breach, non-payment, or legal non-compliance.
Upon termination, User data may be retained or deleted according to Fundrella’s retention policy and the DPA.
13. FORCE MAJEURE
Neither Party shall be liable for failure to perform obligations due to events beyond its reasonable control, including natural disasters, war, terrorism, government actions, strikes, or network outages.
14. CHANGES TO TERMS
Fundrella may update these Terms from time to time. Material changes will be communicated via email or Platform notice at least thirty (30) days before taking effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
15. CHANGES TO TERMS
These Terms constitute the entire understanding between the Parties and supersede any prior agreements or representations relating to their subject matter, except where a separate signed Service Agreement exists.
If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect.
No failure or delay in exercising a right constitutes a waiver.
Users may not assign their rights without Fundrella’s written consent. Fundrella may assign these Terms to any affiliated entity.
16. GOVERNING LAW AND DISPUTES
These Terms and any non-contractual obligations are governed by Swedish law.
Any dispute shall be resolved by the courts of Sweden, with the Stockholm District Court as the first instance.
17. DORA and Supplier Due Diligence
Fundrella may provide general supplier information to Users for the purpose of ICT third-party risk assessments and due diligence under the EU Digital Operational Resilience Act (DORA). Such information may be provided in the form of a due diligence appendix or questionnaire and does not modify the obligations set out in these Terms.
